Terms of Service

Welcome to Modernsoft Innovations. By accessing our website or engaging our software development services, you agree to comply with and be bound by the following terms and conditions of use.

1. Engagement & Services

Modernsoft Innovations provides elite software engineering, web development, mobile app development, and AI integration services. The specific scope of work, deliverables, and timelines for any engagement will be defined in a separate Statement of Work (SOW) or Project Agreement.

2. Pricing & Payment

• Hourly Engagements: For dedicated talent and ongoing support, our standard rate is $18/hr unless otherwise negotiated.
• Fixed-Price Projects: Custom projects typically start from $1,000 USD. Final pricing is determined based on scale, complexity, and specific requirements.
• Payment Terms: Invoices are issued according to the milestones defined in the project agreement. Late payments may result in a temporary suspension of services.

3. Intellectual Property

Upon receipt of full and final payment, Modernsoft Innovations transfers the ownership of all custom-developed source code and assets created specifically for the project to the Client. However, we retain ownership of any pre-existing frameworks, libraries, or tools used during development.

4. Client Responsibilities

Clients are expected to provide timely feedback, necessary credentials, and detailed requirements to ensure project success. Delays in communication from the Client may impact the agreed-upon project timeline.

5. Confidentiality & Non-Disclosure

Both parties agree to protect and keep confidential all proprietary information shared during the engagement. We are happy to sign standard Non-Disclosure Agreements (NDAs) prior to discussing sensitive project details.

6. Warranties & Limitation of Liability

We strive for 100% bug-free delivery; however, software is inherently complex. We provide a post-launch support period (as defined in the SOW) to address any critical issues. Modernsoft Innovations shall not be liable for any indirect or consequential damages arising from the use of our software solutions.

7. Termination

Either party may terminate a project engagement with written notice (typically 30 days) as specified in the SOW. Upon termination, the Client is responsible for payment for all work completed up to the termination date.

8. Governing Law

These terms are governed by and construed in accordance with the laws of Bangladesh. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.

9. Changes to Terms

Modernsoft Innovations reserves the right to modify these terms at any time. Significant changes will be communicated to active clients via email or website announcements.
